OVERVIEW

Welcome to Borevia North. The terms “we,” “us,” and “our” refer to Borevia North.

Borevia North operates this website and related information, content, features, tools, products and services (collectively, the “Services”). Our website is hosted and supported by Shopify, which enables us to provide the Services to you.

These Terms of Service, together with any policies referenced in them, describe the terms that apply when you visit, interact with or use our Services, submit an inquiry or application, request pricing, or purchase products or services from Borevia North.

Please read these Terms carefully. They contain important information concerning your rights and responsibilities, including limitations of liability.

If you do not agree to these Terms, you should not use the Services.

SECTION 1 — ACCESS AND INFORMATION YOU PROVIDE

By using the Services, you represent that you are at least the age of majority in your province, state or jurisdiction of residence or otherwise have the legal authority necessary to use the Services.

When using the Services, including requesting team pricing, submitting a Founding Team application, communicating with us, or placing an order, you may be asked to provide information such as your name, email address, phone number, organization information, shipping information, artwork specifications, roster information, sizing information, payment information or other information necessary to serve your team or organization.

You represent that information you provide to Borevia North is accurate, current and complete and that you are authorized to provide it.

If you are acting on behalf of a team, club, league, school, company or other organization, you represent that you have authority to communicate and transact with Borevia North on its behalf.

If customer accounts are made available, you are responsible for protecting your account credentials and activity associated with your account.

SECTION 2 — PRODUCTS, CUSTOMIZATION AND REPRESENTATIONS

Borevia North offers custom sportswear, uniforms, apparel and related products and services.

We make reasonable efforts to accurately represent products, colours, materials, designs and customization options. However, colours and product appearance may vary depending on screens, devices, lighting, materials, manufacturing processes and other factors.

Digital mockups, design proofs, renderings and product images are intended to represent the proposed product but may not be identical to the final manufactured product.

Product specifications, materials, colours, features, availability and customization options may change when reasonably necessary because of manufacturing requirements, supplier availability or other circumstances.

Where customer approval of artwork, colours, names, numbers, sizing or other customization is requested, the customer is responsible for reviewing the information carefully before approval.

SECTION 3 — QUOTES, ORDERS AND APPROVALS

Submitting a pricing request, application, inquiry or other form through the website does not create an obligation for Borevia North to accept an order or provide products.

Quotes and pricing proposals may be subject to availability, quantities, customization requirements, production requirements, shipping costs, taxes and other applicable charges.

An order becomes binding only after Borevia North has confirmed acceptance of the order and any required payment, deposit, artwork approval or other required information has been received.

Customers are responsible for reviewing order details carefully before providing final approval.

For customized or made-to-order products, production may begin after final approval. Once production begins, changes or cancellations may not be possible or may result in additional costs.

If Borevia North is unable to accept or complete an order, we will make reasonable efforts to notify the customer using the contact information provided.

A person placing an order on behalf of a team, club, league, school, company or other organization represents that they are authorized to do so.

Products purchased from Borevia North may not be commercially resold under the Borevia North name or branding without prior written authorization.

SECTION 4 — PRICES, PAYMENTS AND TAXES

Prices, quotations, discounts and promotions may change unless expressly confirmed in writing for a specific customer order.

The applicable price for an accepted order will be the price stated in the applicable quotation, invoice, order confirmation or other written agreement provided by Borevia North.

Unless expressly stated otherwise, quoted prices may not include applicable taxes, shipping, customs duties, import charges or other charges.

Where payment information is provided, you represent that the payment information is accurate and that you are authorized to use the selected payment method.

Required deposits, payment schedules and remaining balances may vary depending on the nature and size of a custom order and will be communicated before production where applicable.

Failure to make a required payment may result in an order being delayed, suspended or cancelled.

SECTION 5 — CUSTOM ORDERS, SIZING AND CUSTOMER-SUPPLIED INFORMATION

Custom uniform production depends heavily on information approved or supplied by the customer.

Customers are responsible for confirming, where applicable:

• team and organization names;
• logos and artwork;
• colours;
• player names;
• player numbers;
• garment quantities;
• sizes;
• spelling;
• customization placement; and
• other specifications included in the final approved order.

Borevia North is not responsible for errors contained in information that was supplied or expressly approved by the customer, except where otherwise required by applicable law.

Sizing can vary between products, materials, styles and manufacturers. Size charts and recommendations are provided as guidance and do not guarantee a particular fit.

Customers should review sizing information carefully before approving customized orders.

SECTION 6 — CUSTOMER ARTWORK AND INTELLECTUAL PROPERTY

If you provide Borevia North with logos, artwork, trademarks, photographs, names, designs or other content for use in a custom order, you represent that you own the content or have permission to use it for the requested purpose.

You authorize Borevia North and its production and service partners to reproduce, adapt and use customer-supplied content only as reasonably necessary to design, manufacture, administer and fulfill the requested products or services.

You agree not to provide material that infringes the intellectual property, privacy, publicity or other rights of another person or organization.

Borevia North may decline to reproduce artwork or content that we reasonably believe is unlawful, infringing, misleading, offensive or otherwise inappropriate.

SECTION 7 — SHIPPING AND DELIVERY

Production and delivery dates are estimates unless Borevia North expressly confirms otherwise in writing.

We make reasonable efforts to coordinate production and delivery within communicated timelines. However, delays may occur because of shipping carriers, customs processing, manufacturing circumstances, supply interruptions, weather, government actions or other circumstances outside our reasonable control.

Borevia North is not responsible for delays caused solely by circumstances outside our reasonable control.

Customers are responsible for providing accurate delivery information.

Any rights and responsibilities concerning loss, damage or delivery remain subject to applicable law and any shipping terms agreed with the customer.

Customers should notify Borevia North promptly if an order arrives damaged, incomplete or materially different from the approved order so that the issue can be investigated.

SECTION 8 — RETURNS, CANCELLATIONS AND ORDER ISSUES

Because many Borevia North products are customized specifically for a team, organization or individual, customized products may not be eligible for ordinary returns or exchanges simply because a customer changes their mind.

Cancellation, return, replacement, correction or refund eligibility may depend on whether production has begun, whether the product was customized, the nature of the issue and applicable law.

Where a product contains a confirmed manufacturing defect, production error or other issue attributable to Borevia North or its production process, Borevia North will work with the customer toward an appropriate resolution, subject to the circumstances and applicable law.

Nothing in these Terms is intended to limit rights or remedies that cannot legally be excluded under applicable consumer protection law.

Specific order, cancellation, replacement or refund terms may also be communicated in a quotation, invoice, order confirmation or other agreement applicable to an individual order.

SECTION 9 — BOREVIA NORTH INTELLECTUAL PROPERTY

The Borevia North website and its original trademarks, branding, text, graphics, designs, photographs, videos and other content are owned by Borevia North or used with permission from their respective owners and may be protected by Canadian and other applicable intellectual property laws.

These Terms allow you to use the website for lawful personal or business evaluation purposes.

Unless expressly permitted, you may not reproduce, distribute, modify, publish, commercially exploit or create derivative works from Borevia North materials without prior written authorization.

Borevia North names, logos, product names, service names, designs and slogans may be trademarks or proprietary brand assets of Borevia North and may not be used in a manner that falsely suggests endorsement, affiliation or authorization.

Third-party trademarks and intellectual property appearing on the website remain the property of their respective owners.

SECTION 10 — PRODUCTION AND SERVICE PARTNERS

Borevia North may work with manufacturers, production partners, shipping providers, technology providers, payment processors and other service providers in order to provide products and Services to customers.

Where appropriate, customer order information, approved artwork, sizing, customization details, contact information or other information necessary to fulfill an order may be shared with service providers or production partners.

Such information will be handled in accordance with our Privacy Policy and applicable law.

The use of production or service partners does not change the customer's primary relationship with Borevia North unless otherwise expressly agreed.

SECTION 11 — OPTIONAL THIRD-PARTY TOOLS

We may provide access to tools, applications or functionality operated by third parties.

Third-party services may have their own terms and privacy practices. Your use of those services may therefore be subject to additional terms established by the applicable third party.

We are not responsible for third-party services except to the extent required by applicable law.

We may introduce, change or remove tools, features or resources made available through the Services from time to time.

SECTION 12 — THIRD-PARTY LINKS

The Services may contain links to websites, social media platforms or other resources operated by third parties.

Borevia North does not control all third-party websites and does not guarantee their accuracy, security, availability or practices.

You should review the policies and terms applicable to a third-party website before providing information or completing a transaction through that website.

The presence of a third-party link does not necessarily mean Borevia North endorses every aspect of that third party or its content.

SECTION 13 — RELATIONSHIP WITH SHOPIFY

Borevia North is powered by Shopify, which enables us to provide the Services to you.

However, sales and purchases made through Borevia North are made directly with Borevia North and not Shopify.

By using the Services, you acknowledge that Shopify is not responsible for the products or services provided by Borevia North or for disputes arising directly between you and Borevia North, except to the extent Shopify separately assumes responsibility under its own applicable terms or policies.

SECTION 14 — PRIVACY

Personal information collected through the Services is handled in accordance with our Privacy Policy:

Because the Services are hosted by Shopify, Shopify also collects and processes certain personal information relating to access to and use of the Services.

Information may also be provided to production partners, service providers or other parties when reasonably necessary to provide requested products or Services, subject to our Privacy Policy and applicable law.

SECTION 15 — FEEDBACK, REVIEWS AND SUBMITTED CONTENT

If you voluntarily submit reviews, testimonials, suggestions, feedback, photographs, videos or other content to Borevia North, you remain responsible for ensuring that you have the right to provide that content.

Where Borevia North wishes to publicly use identifiable team photographs, videos, testimonials, logos or similar promotional materials, additional permission or approval may be requested where appropriate.

Unless otherwise agreed, submitting general feedback or suggestions allows Borevia North to use that feedback to evaluate and improve its products and Services.

You may not submit content that infringes another person's intellectual property, privacy, publicity or other legal rights or that contains unlawful or malicious material.

SECTION 16 — FOUNDING TEAM PROGRAM

Submission of a Founding Team application does not guarantee acceptance into the program or entitlement to free products, discounts, sponsorships, samples or other benefits.

Borevia North may select participants based on factors such as organizational fit, timing, product needs, promotional opportunities, location, available program capacity and other business considerations.

Any sponsorship, samples, preferred pricing, promotional support or other benefits offered to a selected Founding Team will be subject to the specific terms communicated to that participant.

Where participation involves testimonials, photography, video, social media content, referrals or similar activities, the applicable expectations and permissions may be agreed separately.

SECTION 17 — ERRORS, INACCURACIES AND OMISSIONS

Information on the Services may occasionally contain typographical errors, inaccuracies or omissions relating to product information, pricing, availability, promotions, delivery estimates or other information.

We reserve the right to correct errors, inaccuracies or omissions and to update information when reasonably necessary.

If an error materially affects an accepted customer order, Borevia North will make reasonable efforts to communicate with the affected customer and determine an appropriate resolution.

SECTION 18 — PROHIBITED USES

You may use the Services only for lawful purposes.

You must not use the Services to:

• violate applicable laws or regulations;
• infringe the intellectual property or legal rights of another person;
• transmit malicious software or harmful code;
• impersonate another person or organization;
• submit deliberately false or misleading information;
• harass, threaten or abuse others;
• engage in fraud or attempted fraud;
• interfere with the security or proper operation of the Services;
• collect personal information about others unlawfully;
• send spam or unauthorized solicitations; or
• circumvent technical or security measures implemented on the Services.

We may restrict or terminate access to the Services where we reasonably believe these Terms have been violated.

SECTION 19 — AUTOMATED SYSTEMS AND AGENTS

Automated systems, bots, agents or similar tools may not access or interact with the Services in a manner that circumvents security measures, access restrictions, CAPTCHAs, technical controls or other mechanisms intended to protect the Services.

Automated systems must comply with applicable law and any technical restrictions established for the Services.

We reserve the right to restrict automated access that creates security risks, excessive system load, misuse or interference with the Services.

SECTION 20 — TERMINATION

We may suspend or terminate access to all or part of the Services where reasonably necessary, including in response to misuse, fraud, security concerns, violations of these Terms or legal requirements.

Termination of access does not eliminate obligations relating to accepted orders, outstanding payments or other obligations that arose before termination.

Provisions that by their nature should continue following termination, including provisions relating to intellectual property, payment obligations, limitations of liability and dispute resolution, will continue to apply.

SECTION 21 — DISCLAIMER OF WARRANTIES

To the extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.

We do not guarantee that the website will always be uninterrupted, error-free or available.

Nothing in these Terms excludes or limits warranties, conditions, rights or remedies that cannot lawfully be excluded under applicable law.

Any product-specific warranty or commitment expressly provided by Borevia North in writing remains subject to its stated terms.

SECTION 22 — LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Borevia North and its service providers, partners, contractors and licensors will not be liable for indirect, incidental, special, punitive or consequential losses arising solely from the use of the Services or products obtained through the Services.

Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.

The limitations in these Terms are intended to apply only to the maximum extent legally permitted.

SECTION 23 — INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold Borevia North harmless from third-party claims, losses or reasonable costs arising directly from:

1. your material breach of these Terms;
2. your unlawful use of the Services;
3. content or artwork you provide that infringes another person's rights; or
4. your violation of applicable law or the rights of another party.

This section does not apply to the extent a claim results from Borevia North's own unlawful conduct or negligence where liability cannot legally be excluded.

SECTION 24 — SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed as necessary.

The remaining provisions will continue in full force and effect.

SECTION 25 — WAIVER AND ENTIRE AGREEMENT

A failure by Borevia North to enforce a provision of these Terms does not constitute a waiver of that provision or any other right.

These Terms, together with policies and any order-specific agreements expressly incorporated into them, constitute the agreement governing your use of the Services.

For a particular customer order, an accepted quotation, invoice, order confirmation, design approval or written agreement may contain additional terms applicable specifically to that transaction.

SECTION 26 — ASSIGNMENT

You may not assign your rights or obligations under these Terms without prior written consent where consent is legally required.

Borevia North may assign or transfer its rights and obligations in connection with a legitimate business restructuring, incorporation, sale, merger or transfer of the business, subject to applicable law.

SECTION 27 — GOVERNING LAW

These Terms of Service and any separate agreements through which Borevia North provides Services will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Subject to rights that cannot be waived under applicable consumer protection laws, disputes relating to these Terms will be subject to the jurisdiction of the courts of Ontario, Canada.

SECTION 28 — HEADINGS

Section headings are included for convenience only and do not limit or otherwise affect the interpretation of these Terms.

SECTION 29 — CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes to our Services, products, practices, business structure or legal requirements.

The current version will be published on this website with an updated effective date where appropriate.

Where required by applicable law, we will provide additional notice of material changes.

Your continued use of the Services after an updated version becomes effective constitutes acceptance of the updated Terms to the extent permitted by law.
